Washington Cruisers Car Club Bylaws

Article 1. - Name and Purpose
Section 1. The name of the club is the Washington Cruisers Car Club.
Section 2. The Washington Cruisers Car Club is a non profit organization established for the purpose of promoting car cruising in and around Washington County, and to provide mutual enjoyment for its members. The club may also raise and donate money to charitable organizations if it is deemed a priority of the incumbent officers and board.
Article 2. – Membership
Section 1. All car cruising enthusiasts are eligible for membership.
Section 2. A new membership application may be accepted by a 2/3 approval vote of the Executive Board. All new member applications must have a recommendation of an existing member.
Section 3. A membership covers a married couple and all dependent children, 18 years or younger. If unmarried, it covers the member and dependent children, 18 years or younger.
Section 4. Any membership may be terminated by a unanimous vote of the Executive Board. Any member whose dues are more than 60 days in arrears shall be dropped from the club membership role.
Article 3 – Dues
Section 1. Annual membership dues shall be established by the Executive Board prior to January 1st each year.
Section 2. Dues are payable by January 20th each year. Dues collected after this date shall not be prorated. No dues will be refunded.
Article 4. Executive Board, Officers and Elections
Section 1. The President shall appoint a Nominating Committee Chairman to accept nominations and coordinate elections each year. Nominations can be accepted from one month prior to and up to the election time.
Section 2. The Executive Board shall consist of a minimum of 8 board members and a maximum of 12 board members.
Section 3. Executive Board members shall be elected for a term of two years with some seats elected in alternating years. Nominations for Board member seats, can be accepted from one month prior to and up to the election time with submission of candidates to the Nominating Committee Chairmen.
Section 4. Executive Board members seats shall be filled by election by secret ballot at the annual membership meeting in January each year with majority approval vote.
Section 5. Officers of the Board shall be President, Two Vice presidents, a Secretary, Assistant Secretary, and Treasure.
Section 6. Officers of the Board shall act as officers of the club. Officers shall serve for a term of one year and elections shall be held for officer seats each year.
Section 7. Officers of the Board shall be nominated from the Executive Board members and elected by secret ballot at the February Executive Board meeting each year with majority approval vote. Nominations for Officers can be accepted from one month prior to and up to the election time with submission of candidates to the Nominating Committee Chairmen.
Section 8. Vacancies for unexpired terms of Executive Board members, shall be filled by appointment of the President with 2/3 approval by the existing board members.
Article 5 – Duties of the Officers and Executive Board
Section 1. The President shall preside over all meetings of the membership and of the Executive Board. He/she shall appoint all committee chairmen. He/she shall have the authority to decide all questions of split decision and shall serve as official representative of the club.
Section 2. A Vice President shall serve in the absence of the President.
Section 3. The Treasurer shall collect and distribute the funds of the club as directed by the President and Executive Board. He/she shall render a written financial report of the club on an annual basis and verbally report on financial status at the monthly Executive Board meetings. He/she shall collect all dues and retain funds of the club, and keep all membership records.
Section 4. The Secretary shall handle all official correspondence of the club and keep minutes of all meetings of the membership and Executive Board meetings.
Section 5. The Executive Board shall have the authority to proceed in any manner as, in their judgment, serves the interests of the club. The decision of a majority of the Executive Board on any question, shall be binding, or until the next regular or special meeting of the club, when such decision may be approved, nullified, or amended.
Section 6. Board members must attend at least 2/3 of the regular scheduled board meetings each year to retain his/her position on the board, failure to do so, could result in his/her dismissal. An Executive Board member can be removed from the board, for any reason, with unanimous vote of the balance of the Executive Board members, at a regularly scheduled board meeting.
Article 6 – Meetings of Members
Section 1. There shall be a Membership meeting scheduled and held, at least once annually for the election of Executive Board members and the transaction of business of the club. Special meetings may be called by the club President or at the request of three board members or six club members. At least two weeks notice shall be given to all club members of all meetings of the members.
Section 2. For the purpose of conducting business at a regular or special meeting of the club, those present shall constitute a quorum. A majority vote shall be sufficient for approval, to nullify, or amend any question before the membership.
Article 7 – Miscellaneous
Section 1. Alcohol shall be prohibited from any open event or function of this club. Alcohol may be consumed at events held at establishments with a liquor license provided that no alcohol is purchased by the club.
Section 2. Hot-Roding, drag racing, burning rubber or any other unsafe operation of a motor vehicle will not be tolerated at club functions or events. Violation by a club member may be grounds for termination of membership of the club.
Article 8 – Amendments or additions to the By-Laws
Section 1. Amendments or additions of the By-Laws may be made from time to time by a majority vote of members in good standing in attendance of a membership meeting with at least two weeks written notice to all members stating the proposed changes and/or additions.
